Please read these Terms of Service ("Terms") carefully before using the services offered by IAAI Technology ("we", "our", "us") at iaaitech.com. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Definitions

  • "Client" / "You" — Any individual or business entity that purchases or uses our services
  • "Services" — AI-powered social media management, automated posting, content generation, and related services provided by IAAI Technology
  • "Platform" — Third-party social media platforms including but not limited to Facebook and Instagram (Meta)
  • "Agreement" — These Terms of Service, together with our Privacy Policy and any order confirmation

2. Services Provided

IAAI Technology provides the following services:

  • AI-powered automated social media posting on your behalf
  • Automated comment and message responses
  • AI-generated content creation tailored to your business
  • Social media account management and optimization
  • Ongoing monitoring and performance automation

The specific scope of services is determined by the package purchased. We reserve the right to modify, improve, or discontinue any feature of our services with reasonable notice.

3. Eligibility

By using our services, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal authority to enter into this Agreement on behalf of yourself or your business
  • You are the legitimate owner or authorized administrator of the social media accounts you grant us access to
  • Your use of our services complies with all applicable laws and regulations

4. Client Responsibilities

You agree to:

  • Provide accurate, complete, and up-to-date information during onboarding and throughout the service period
  • Grant all necessary permissions and access required to deliver the services legally and in compliance with platform terms
  • Review and approve content strategies or guidelines when requested
  • Notify us promptly of any changes to your business, brand guidelines, or social media accounts
  • Not use our services for any unlawful, fraudulent, defamatory, or harmful purpose
  • Not attempt to reverse-engineer, copy, or resell our services or technology
  • Comply with the terms of service of all third-party platforms (e.g., Meta's Terms of Service)

5. Onboarding Process

After payment is confirmed, you will receive an onboarding form via email. You must complete this form to initiate service setup. Service delivery timelines begin from the date the completed onboarding form is received, not from the date of payment.

6. Payment Terms

  • A one-time setup fee is required to initiate the service
  • A monthly subscription fee is charged on a recurring basis to maintain the service
  • All fees are due in advance and are non-refundable except as stated in our Refund Policy
  • Services will not commence or will be suspended if payment is not received or fails
  • We reserve the right to adjust pricing with 30 days' written notice to existing clients
  • All prices are listed in USD. You are responsible for any currency conversion fees charged by your payment provider

7. Third-Party Platform Dependency

Our services operate on and through third-party platforms, including Meta (Facebook and Instagram). You acknowledge and agree that:

  • We have no control over third-party platform policies, algorithms, or API availability
  • We are not responsible for account restrictions, suspensions, or bans imposed by third-party platforms
  • Changes to platform APIs or policies may affect the scope or availability of our services
  • We will make reasonable efforts to adapt to platform changes but cannot guarantee uninterrupted service
  • You remain solely responsible for ensuring your social media accounts comply with platform terms

8. Intellectual Property

  • All content, technology, systems, and methodologies developed by IAAI Technology remain our exclusive intellectual property
  • Content created on your behalf using your brand assets remains your property
  • You grant us a limited, non-exclusive license to use your brand assets (logos, images, copy) solely for the purpose of delivering the services
  • You may not reproduce, distribute, or create derivative works from our proprietary systems or materials

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the service relationship. This includes business strategies, login credentials, client data, and pricing. This obligation survives termination of the Agreement.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • IAAI Technology shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • We are not liable for loss of revenue, loss of business, loss of data, or reputational damage arising from use of our services
  • We are not liable for damages resulting from third-party platform actions, outages, or policy changes
  • Our total cumulative liability to you shall not exceed the total amount paid by you in the three (3) months preceding the claim

11. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, including but not limited to:

  • Guarantees of specific results, follower growth, or engagement rates
  • Uninterrupted or error-free service
  • Fitness for a particular purpose

Social media performance depends on many factors outside our control, including platform algorithms, market conditions, and content quality.

12. Termination

By You:

You may cancel your subscription at any time by contacting us at Admin@Iaaitech.com. Cancellation takes effect at the end of the current billing cycle. No refunds are issued for partial months.

By Us:

We reserve the right to suspend or terminate services immediately if:

  • You breach any provision of these Terms
  • Payment is not received after reasonable notice
  • Your account is used for illegal or harmful activities
  • Continuing the service would violate applicable laws or platform policies

Upon termination, we will revoke all access to your social media accounts and cease all automated activity within 48 hours.

13. Indemnification

You agree to indemnify, defend, and hold harmless IAAI Technology and its team members from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your breach of these Terms
  • Your violation of any third-party rights or platform policies
  • Content or instructions you provide to us
  • Your use of the services in an unlawful manner

14. Modifications to Terms

We reserve the right to update these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Notify active clients via email at least 14 days before changes take effect

Continued use of our services after the effective date of changes constitutes acceptance of the updated Terms.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Arab Republic of Egypt. Any disputes arising from or related to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the competent courts of Egypt.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any applicable order confirmation, constitute the entire agreement between you and IAAI Technology regarding the use of our services and supersede all prior agreements or understandings.
